Establishing a strategic Dutch holding structure is about far more than registering a company. For internationally ambitious entrepreneurs, investors and business groups, a Dutch Holding B.V. can become the strategic ownership centre of an international corporate structure — a platform designed for tax-efficient reinvestment, asset protection and international expansion. It allows you to organise subsidiaries, separate operational activities from accumulated corporate value, reinvest qualifying profits and prepare for future acquisitions and exits.
1.Don't Just Incorporate. Think Bigger.
Incorporating a Dutch B.V. is only the first step.
Astropel looks beyond incorporation to your ownership structure, taxation, future subsidiaries, investments, acquisitions, international expansion and eventual exit.
We don't simply ask, “Where do you want to incorporate?”
We ask, “Where do you want your business to be in five years?”
2.Earn. Protect. Reinvest. Expand.
A Dutch Holding B.V. can be much more than a company. For internationally ambitious entrepreneurs, investors and business groups, it can become the strategic ownership centre of an international corporate structure.
Earn
Build profitable businesses and investments in the Netherlands and internationally.
Protect
Separate valuable corporate assets and accumulated reserves from day-to-day operational risks where appropriate.
Reinvest
Keep qualifying capital within your corporate structure and redeploy it into new businesses, acquisitions and investments.
Expand
Use your Dutch Holding B.V. as a central ownership platform for subsidiaries and investments across Europe and beyond.
Build for today. Structure for tomorrow.
3.Why a Dutch Holding B.V.?
The Netherlands is one of Europe's most established international business jurisdictions. Its sophisticated corporate legal system, EU membership, international business environment, extensive tax treaty network and established holding regime make it an attractive location for internationally active entrepreneurs and corporate groups.
A Dutch Holding B.V. can provide a strategic platform for:
- ●International ownership structures
- ●European headquarters
- ●Multiple operating companies
- ●International subsidiaries
- ●Cross-border investments
- ●Acquisitions and joint ventures
- ●Corporate reinvestment
- ●Asset separation
- ●Business succession
- ●Future exits
- ●Global expansion
Don't structure only for the company you have today. Structure for the international group you want to build tomorrow.
4.The Dutch Participation Exemption
A Powerful Advantage for Qualifying Investments
One of the most important features of the Dutch corporate tax system is the Participation Exemption (*Deelnemingsvrijstelling*).
Subject to applicable statutory conditions, dividends received from qualifying subsidiaries and capital gains realised on qualifying participations can generally be exempt from Dutch Corporate Income Tax at Holding B.V. level.
A qualifying participation generally begins with an ownership interest of at least 5%, although additional statutory conditions, substance considerations and anti-abuse rules may apply.
Why does this matter?
Imagine your Dutch Holding B.V. owns several qualifying subsidiaries. One subsidiary generates profits and distributes a dividend. Another grows substantially and is eventually sold.
Where the participation exemption applies, qualifying dividends and capital gains can generally be received by the Holding B.V. without additional Dutch Corporate Income Tax at holding-company level. The capital can then potentially remain within the corporate structure and be deployed into the group's next opportunity.
Build. Grow. Exit. Reinvest. One successful business can help finance the next.
5.Reinvest Before You Extract
Keep Your Corporate Capital Working
Successful entrepreneurs do not necessarily want to withdraw every euro of profit personally. A properly structured Holding B.V. can provide greater flexibility to keep capital within the corporate environment and deploy it toward future opportunities.
Depending on your circumstances, capital held at Holding B.V. level may be used for:
- ●New companies
- ●International subsidiaries
- ●Business acquisitions
- ●Strategic investments
- ●Joint ventures
- ●New brands
- ●Technology ventures
- ●Group financing
- ●Research & development
- ●Real estate investments
- ●New geographic markets
Instead of viewing every company independently, the Holding B.V. can become the investment engine of your wider corporate group.
Today's profits can finance tomorrow's expansion.
6.Protect What You Have Built
Separate Operations from Long-Term Corporate Value
Your operating company is where business happens. Customers. Employees. Suppliers. Contracts. Commercial obligations. And inevitably — operational risk.
A Holding B.V. can sit above the operating business and, when properly structured, help separate certain accumulated corporate value and strategic assets from everyday trading activities.
As your business grows and accumulates value, this separation can become increasingly important.
Creating value is one objective. Structuring and protecting it is another.
7.From One Company to a Global Group
One Dutch Holding. Multiple Markets.
Your international structure may start with one Dutch company. It does not have to end there.
As your business expands, your Dutch Holding B.V. can potentially become the parent company of a wider international group.
One ownership platform. Multiple businesses. Multiple jurisdictions. One coordinated strategy.
8.International Tax Optimisation
Structure Before You Expand.
International tax planning should begin before companies, investments and transactions are spread across multiple jurisdictions. The ownership of companies, location of activities, movement of capital and creation of value can all have important tax consequences.
Astropel takes a holistic view of your international structure. Depending on your circumstances, our analysis and coordination may include:
- ●Dutch Participation Exemption
- ●Corporate Income Tax
- ●Dividend withholding tax
- ●Double-tax treaties
- ●EU directives
- ●International holding structures
- ●Transfer pricing
- ●VAT
- ●Group financing
- ●Intellectual property considerations
- ●Corporate substance requirements
- ●Beneficial ownership requirements
- ●Anti-abuse provisions
- ●Reinvestment strategies
- ●Exit planning
Tax Optimisation With Substance.
Our approach is focused on legitimate, commercially grounded and sustainable international structuring. We do not believe in artificial structures built solely around tax. We believe in designing corporate structures where business strategy, commercial reality, compliance and tax efficiency work together.
9.Access the Netherlands' International Network
The Netherlands has an extensive network of tax treaties and operates within the European Union's legal and tax framework.
Depending on the countries involved, ownership structure, applicable treaties, EU legislation and specific circumstances, international structures may benefit from reduced double taxation and, in qualifying situations, reduced or eliminated withholding taxes.
This can be particularly relevant for international flows involving dividends, interest, royalties and investments.
Treaty and EU benefits are not automatic. Beneficial ownership, economic substance, anti-abuse provisions and the domestic rules of each jurisdiction must always be considered.
International structuring should be planned — not improvised.
10.Dutch Holding B.V. vs. Single B.V.
Single Operating B.V.
A single B.V. may be entirely appropriate for a straightforward business. However, the same company normally contains both the operational activities and the value accumulated within that business. As the company becomes larger, more valuable or more international, additional structural flexibility may become desirable.
Holding B.V. + Operating B.V.
Under a holding structure, you own the Holding B.V. and the Holding B.V. owns the Operating B.V. Additional companies and investments can potentially be organised beneath the same holding structure.
This may provide:
- ●Greater structural flexibility
- ●Separation between ownership and operations
- ●Potential participation-exemption benefits
- ●Corporate reinvestment opportunities
- ●A platform for future acquisitions
- ●Greater flexibility for international expansion
- ●More options when selling individual businesses
- ●A scalable structure for future investments
Don't just incorporate. Build your global platform.
11.Build With the Exit in Mind
A strong corporate structure is designed not only around how a business begins — but also around what may happen when it becomes successful.
Imagine your Holding B.V. owns several qualifying operating companies. You receive an attractive offer for one of them. You want to sell that business while keeping your other companies and investments.
Where the Dutch participation exemption applies, a qualifying capital gain can generally be exempt from Dutch Corporate Income Tax at Holding B.V. level. The proceeds may then remain within the Holding B.V. and potentially become capital for:
- ●Your next acquisition
- ●Your next company
- ●Your next market
- ●Your next investment
Build. Scale. Exit. Reinvest.
12.Is a Dutch Holding B.V. Right for You?
A Dutch holding structure may be particularly attractive if you:
- ●Own or intend to own multiple companies
- ●Operate or plan to operate internationally
- ●Expect to reinvest business profits
- ●Want to establish subsidiaries in other countries
- ●Plan to acquire businesses
- ●Want greater separation between operating risk and accumulated corporate value
- ●Expect to bring in investors
- ●Are building multiple brands or ventures
- ●May eventually sell one or more businesses
- ●Want a European corporate headquarters
- ●Are developing a long-term investment structure
- ●Want your corporate architecture prepared for international growth

Important Tax & Legal Information — The tax and structural benefits described on this page depend on the specific facts and circumstances of each client, company and transaction. The Dutch participation exemption, withholding-tax exemptions, treaty benefits and other tax treatments are subject to statutory requirements, applicable tax treaties, EU legislation, substance and beneficial-ownership requirements, anti-abuse provisions and other relevant Dutch and international rules.
International structures may create tax, legal, reporting and compliance obligations in multiple jurisdictions. No particular tax outcome is guaranteed. Each structure should therefore be assessed individually and, where appropriate, Astropel coordinates with qualified legal, tax and other professional advisers in the relevant jurisdictions.
