2.Company Name and NIF Number

During formation, the company is assigned a NIF (Número de Identificação Fiscal) — the tax identification number used for all tax and official transactions. Foreign founders must first obtain a personal NIF, which can be done through the Finanças (Tax Office) or an authorized fiscal representative.

3.Empresa na Hora: Fast-Track Formation

Portugal offers one of Europe's fastest company formation processes through the "Empresa na Hora" (Company on the Spot) program. Under this system, an Lda company can be established in a single appointment, typically within one hour. Pre-approved articles of association templates are used. The formation fee is approximately €360. Alternatively, a traditional formation with customized articles of association can be chosen, which typically takes 1-2 weeks.

4.Bank Account and Capital Requirements

For an Lda, the minimum capital requirement is extremely low — symbolically €1 per shareholder. However, adequate capitalization for the intended business activities is recommended. Opening a business bank account in Portugal requires the company's NIF, formation documents, shareholders' identification, and proof of residence. Major banks include Millennium BCP, Caixa Geral de Depósitos, Novo Banco, and BPI. For an SA, minimum capital of €50,000 is required, with at least 30% to be paid up at formation.

5.Commercial Registry

For the company to be officially established, it must be registered with the Conservatória do Registo Comercial (Commercial Registry). With the Empresa na Hora method, this happens automatically during formation. For traditional formation, the application requires notarized articles of association, shareholders' identification documents, and proof of capital deposit. After registration, the company is published in the Diário da República (Official Gazette).

6.Portuguese Tax System
